The Amazing Spider-Man 2. At the least, Spider-Man 3 had a clear beginning, middle, and end. And Sandman (THC) remains a more compelling villain than all three (or is it four counting Felicity Jones?) in TAS2.

Spider-Man 3 (edit: thought it was the better of the two)
Church as Sandman was a standout.
I always liked Maguire as Peter Parker. Couldn't buy Andrew Garfield's Parker for one second, and Parker has always been much more interesting to me than Spider-Man. Andrew Garfield played his Peter Parker a little too close to Flash Thompson for me. He's a good actor I enjoy seeing, but I just couldn't get into him as Peter Parker.
They let Sam Raimi get a little weird, which while I didn't like all of it, I liked some of it...and that it was something a little different at least.
On the cons side, the butler scene was unforgivably dumb. While I get having to sacrifice certain plot points (in a movie with so many characters), this was sooo lazy. I saw this in the theatres and remember the groan. I wanted to see what the butler was talking about more than a swing number with Parker being a dick. Then again, I did like that they let Sam Raimi operate on a longer leash, so beggars can't be choosers I suppose.
Apart from Martin Sheen and Sally Field, the rebooted two movies did nothing for me. Jamie Foxx had his moments, but his character didn't get the development it deserved IMHO. Garfield was a good Spider-man, but a Peter Parker you wouldn't imagine gets bullied at school. Both of the "Amazing" movies seemed rushed at the expense of the characters...which despite some hamminess, Maguire/Raimi seemed more in tune with.

They're both so god awful that its really hard to say.
But I guess I'll say Spider-Man 3 because of how good parts 1 and 2 were. How could they drop the ball so hard after that? And its budget was outrageous!
But then Amazing Spider-Man 2 went and pretty much made the same mistakes! Too many villains, all of them corny and miscast (Rhino?! WTF was that?!); weak story; no clear vision. Which is too bad because I actually liked Amazing Spider-Man 1 and thought it was a nice setup for the rest of the franchise.
