Pros:
-The way we feel sympathy for the villain makes him more relatable.
-The train fight scene.
-J. Jonah Jameson and his hysterical laugh.
-When those people on the train stood up to Doc Ock. It gave that sense of teamwork.
Cons:
-Never understood the whole "no powers" arc. Why did he lose them again? Don't remember, but even then it'd still be confusing.
-Feels a bit worn out living up to the fast-paced and adrenaline-fueled 2002 original.
