From a critical standpoint, the 2014 Ninja Turtles movie obviously left MUCH to be desired. I also would imagine that very few people expecting the the second film to be well received. With that being said, the film was still a hit, despite having to compete with 'Guardians of the Galaxy', as evident by the fact that the sequel was greenlit by Paramount almost immediately after OW for the 2014 film.
Now to be frank, I think it was clear for most people that 'Out of the Shadows' probably wasn't going to match its predecessor in box office totals, but why do you think it flopped how it did? It certainly wasn't under-promoted, the 2012 TMNT cartoon was still popular to my knowledge, and the film had Stephen Amell from 'Arrow', as well as Keanu, Bebop, and Rocksteady for the older fans. Despite all this, the film domestically couldn't even make half of what its predecessor made. So why did it do so poorly?

A collective sense of franchise fatigue? I know it hadn't even launched one yet and was just the first sequel but some come sooner than others. This year, it's Pirates of the Caribbean which is doing fine in of itself but poorly by the standards set by the series.

Probably because they made the dick move of releasing it during a packed point, with X-Men, Captain America, Angry Birds, and Warcraft being the competition.

Well actually, I think the first film left a bad taste in people's mouths. The whole Splinter learning ninjitsu from a book, the lack of color, the weird looks of the Turtles, the Transformer-esque Shredder, the climax copied from "The Amazing Spider-Man", the Turtles coming to a soft landing after falling from a hundred storeys while holding a large iron tower, the movie being focused more on April than the Turtles etc etc etc. That is why many folks probably avoided the sequel.
In my opinion the things that I think "Out of the Shadows" did wrong were:
* Casey Jones - the actor was wrong for it as was the fact that they changed the character completely from what he was. They guy only wears his trademark hockey-mask for a few minutes in the entire film.
* Giving the Turtles even weirder things and accessories to wear.
* The explanation of why Bebop and Rocksteady turned into the animals that they did. It is an insult to even grade school science.
* Making Bebop and Rocksteady overly stupid. Yes, in the cartoon series they were mostly the comic relief, but then that was the problem with Shredder and Krang too as the series progressed. When it started out, they were all pretty scary. B and R should have been given a more menacing and scary persona.
* The climax which seemed to be taken directly from "The Avengers".
* All the human characters were boring and one dimensional. There are only a zillion movies in which there is a character identical to the one played by Laura Linney.
* Not enough Shredder
There are things that I liked about "Out of the Shadows" too:
* The Shredder was better than the one in the previous movie
* Krang was cool as was Baxter Stockman

Nostalgia sold the first one, same thing happened to Scooby Doo series as well as Flintstones and The Addams Family
Scooby Doo 1 made 153m and Scobby Doo 2 made 84m
