So Disney is trying to acquire Fox through fraudulent methods. Okay, is that meant to be a question or a statement? Either way, it is, not surprisingly, a misrepresentation of the situation. Did you read the article before posting it? Robert Weiss is suing Twenty-First Century Fox, Inc., the members of its board and Rupert Murdoch; he is not suing Disney. The basis for his lawsuit is a Schedule 14A Definitive Proxy Statement provided to Fox shareholders and filed with the SEC on June 28. Mr. Weiss' issues are two-fold. He claims that the statement "omits or misrepresents [21CF’s] financial projections and the data underlying financial valuation analyses from Goldman Sachs and Centerview Partners." He also claims that [Goldman Sach's] potential conflicts of interest with the Disney Deal have not been fully disclosed to the Fox shareholders. In brief, Mr. Weiss' complaint is against 21CF and Goldman Sachs and nowhere in his complaint does he implicate Disney in any wrongdoing. Disney is listed as a 'Relevant Entity' in the complaint.

In short, he just wants more info. I think he's after a better price. If the 21CF financial projections were somehow undervalued in the filing, he'd be right to pressure the board and the shareholders to try and get more money from Disney. He may also think that Goldman is getting too much money by playing multiple roles in the deal while simultaneously having a vested interest in a Disney acquisition of 21CF. I have not seen any news that indicates that he is for or against a Comcast acquisition of 21CF in place of the current Disney acquisition of 21CF.
